Job Details

Job Profile:

  • Support effective alignment of high-level organizational planning and governance.
  • Lead the annual review of Bank’s Board and Management Delegation of Authority Framework to ensure that delegations comply with all relevant statute as well as reflecting realities of responsibilities throughout the organization.;
  • Oversee the maintenance of the charters of the Board and Board Committees; and
  • Support the institution of an appropriate functional performance measurement mechanism.
  • Develop Board training plans and update them as necessary.
  • Ensure (in coordination with the board secretary) that board members; receive all training and development opportunities necessary to ensure strong Board performance including briefings on compliance requirements.
  • Lead the Board Evaluation processes.
  • Lead the process of reviewing the periodic reporting packs presented to Board and Board Committees from time to time, provide recommendations and support respective management to enhance the content and coverage of the reporting packs;
  • Design and undertake initiatives to promote sound corporate culture in the Bank, including but not limited to executing training and awareness programs and campaigns across the Bank.

Experience

  • 10-15 years of Experience in a Senior Corporate Governance role within banks, financial Services, big 4 or a similar institution.
  • Experience as a line manager/ departmental Head in a similar environment – previous experience in the FI sector is desirable.
  • Sound knowledge of CBUAE and SCA Corporate Governance Regulations and Standards.
  • Knowledge and experience with managing governance frameworks.
  • Proven strategic planning, project management and organizational reporting skills; and the ability to coordinate the work of teams and individuals ensuring the quality and timeliness of output.
  • Ability to motivate and develop staff and promote high levels of performance.
  • Ability to work under pressure, make decisions and to solve problems.
  • Fluency in business English & Arabic is an advantage.
